MBO helps US based middle-market business owners realize the unique tax and non-tax benefits of selling their companies using the Leveraged ESOP (employee stock ownership plan) Structure. An owner can sell a partial interest or total interest in the company to the employees using an ESOP Structure and the owners can DEFER (if done properly and indefinitely if desired) paying TAXES on the sale of the company. Furthermore there is no need for an outside third party buyer as the owner will be selling the company to the employees without any money coming out of their pockets and everything can remain the same in the company; same board, same managers and same employees.
